Acting CFO for a Software as a Service (SaaS) company. Responsible for raising venture capital funds of USD3m in a Series A, accounting, bookkeeping, tax and hiring.
Centragas
(Colombia)
Developed financial model to evaluate the acquisition of a 580 km natural gas pipeline in Colombia from Prisma International (former Enron International). Prepared first and second round acquisition proposal. Transaction included highly engineered debt and equity structures requiring the development of innovative valuation models.
Clearant, Inc.

Financial advisor to a biotech company. Prepared an integrated budgeting and valuation model that ties directly into the company’s accounting system.
Globeleq
(US, UK)
Preparation of company’s corporate financial model by aggregating financial models from global subsidiaries in preparation of IPO. Preparation and audit of a valuation model for the sale of the company’s Latin American assets.
La Brea Nitrogen, Limited
(Trinidad and Tobago)
Financial advisor for an ammonia and UAN plant development project in Trinidad and Tobago. Prepared financial models and led financing process with project finance banks and equity investors. Secured MOU with the government of Trinidad & Tobago for the long-term supply of natural gas.
iMedeon
(US)
Venture Capital investment; invested USD 4.6 million in a USD 15.5 million Series B round. iMedeon develops software for mobile workforce applications based on the Internet and hosted by iMedeon (Application Service Provider, ASP). Including warrants received in conjunction with the investment the investment represents a 9.3% ownership interest in the company. Led the due diligence, valuation and internal approval process. Company later sold to ViryaNet.
China Light & Power (CLP)
(US, Hong Kong, Australia)
Adviser to Arctas Capital Group in the acquisition of a 30% interest in Yallourn, CLP’s brown coal fired power plant in Australia. Co-developed financial model and participated in negotiations with potential investors. Developed hybrid convertible structure to accommodate goals of investors and CLP.
Enikia
(US)
Venture Capital investment of USD 5.0 million in a USD 15.0 million Series B round. Enikia is a powerline communications company. Its technology allows for high-speed communications over the powerline in-home and as Access technology. Originated the transaction, led the due diligence process, negotiations and internal approval process.
Vigor
(Germany)
First venture capital investment in Europe by Enron Principal Investments; Euro 3.0 million in a Euro 6.0 million Series B round. Vigor develops and manufactures energy savings devices. Originated the transaction, led the due diligence and negotiation as well as internal approval process.
Omni Sulphur
(Various international projects)
Secured licensing agreements in India and the U.A.E., and structured two joint ventures with energy companies in Oman and South Korea.
Moore Agricultural Co., Inc.
(US, California)
Adviser to Moore through the acquisition of competitor assets, recommending scale-down of acquisition from all operations to single plant based on detailed financial/portfolio. Prepared financial models and co-led due diligence and negotiation with Tiger’s management and owners. Prepared budget models including the new acquisition and bank presentations for debt financing. Completed refinancing of Moore’s debt structure.

Prepared and maintained valuation model for the Bolivia – Brazil natural gas pipeline and negotiated transportation tariffs with the government.
Valeo SA
(France, Germany, Japan)
Valeo acquired the European and North American automotive climate control activities of Zexel, Japan. In addition, a joint venture was set up between Valeo and Zexel covering automotive A/C systems in Japan and Asia as well as Zexel’s worldwide compressor business. A second joint venture was set up between Valeo and Zexel for engine cooling systems in Asia. Valeo is a French automotive supplier with sales of Euro 9.1 billion (USD 8.1 billion). Zexel is a major Japanese automotive supplier with sales of Yen 230 billion (USD 1.9 billion), majority owned by Bosch, Germany, the world’s third largest automotive parts supplier with Euro 28 billion in sales (USD 25.1 billion). Led the valuation process and wrote presentation on investment rationale.

Advised Preussag in the sale of its Preussag Noell engineering division, involving eight subsidiaries of Preussag Noell. Complex transaction structured as a “dual track” sale process. Potential buyers were identified and solicited to acquire the entire company. Concurrently, a sales process was initiated that involved the sale of the subsidiaries as single entities. Total volume of the transaction was Euro 970 million (USD 870 million). Led the valuation process and wrote several management presentations.
Howaldtswerke-Deutsche Werft GmbH
(Germany)
Advised Preussag in the sale of a 50% stake in Howaldtswerke-Deutsche Werft to Deutsche Babcock AG (now Babcock Borsig AG). HDW is Germany’s leading shipbuilder with Euro 574 million in sales in 2000 (USD 513 million). Led the valuation process and wrote several management presentations.
Preussag Wasser- und Rohrtechnik GmbH

Advised Preussag in the sale of its subsidiary Preussag Wasser-und Rohrtechnik (PWR) to Deutsche Babcock AG (now Babcock Borsig AG). Total deal size Euro 660 million (USD 590 million). Led the valuation process and wrote several management presentations.
RWE AG and Energie Baden-Württemberg (EnBW)

Advisor to the RWE/EnBW consortium in a tender offer for the construction of an 800 MW power plant in Hungary. Wrote a study on the Hungarian electricity market.
B Braun Melsungen AG

Advisor to B Braun Melsungen AG in its USD 400 million acquisition of a US medical company; cross-Atlantic M&A transaction including leveraged-financing for the acquisition consideration. Wrote investment rationale study.
